A confidential conversation costs nothing
Selling your business
Overview
A direct buyer who understands what you have built
Deciding to sell a business is one of the most significant decisions an owner will make. It is rarely straightforward, and the process can feel uncertain, intrusive and slow. We have been through it ourselves — as sellers and as buyers — and we have built our approach around making it as straightforward as possible for the owner.
We are a direct acquirer. You deal with the principal, not a team of intermediaries. We make our own decisions, we move at a pace that suits you, and we treat every conversation as strictly confidential from the outset.
Confidentiality
We understand that the decision to explore a sale is sensitive. Employees, customers and competitors do not need to know that a conversation is taking place. We operate with complete discretion at every stage — from the first call through to completion. We will not contact your business, your staff or your customers without your knowledge and consent.
All initial conversations are off the record
We sign NDAs at the earliest appropriate stage
We do not share your information with third parties
We do not approach your staff or customers directly
Why us
Why owners choose to sell to us
You deal directly with the decision-maker
There are no account managers, no junior staff and no committees. Gary Pesticcio is involved in every conversation from the first call to completion.
Complete confidentiality from the outset
We treat every enquiry as strictly confidential. We do not share information about your business with third parties without your explicit consent, and we sign NDAs at the earliest appropriate stage.
No obligation to proceed at any stage
Contacting us creates no commitment. We do not require exclusivity at the outset, and you are free to withdraw from discussions at any point without consequence.
We are self-funded
We do not require bank financing or external investment to complete a transaction. This means we can move quickly and there is no risk of a deal falling through because of a lender's decision.
Commercially realistic valuations
We make sensible offers based on genuine commercial assessment. We do not inflate initial offers to win exclusivity and then renegotiate — we aim to agree a fair price and stick to it.
We protect what you have built
We acquire businesses to own and develop them for the long term. We respect the employees, customers and relationships that make your business valuable, and we plan every handover carefully.
The process
What the process looks like
Every transaction is different, but the broad shape of the process is consistent. We keep it as straightforward as possible.
Initial conversation
30–60 minutes
A private discussion — by phone or in person — to understand your business, your situation and your objectives. We will ask some basic questions about the business and explain how we work. There is no paperwork and no commitment at this stage.
Basic information
At your pace
If there appears to be a potential fit, we will ask for a small amount of financial and operational information — typically recent accounts, a brief overview of the business and some basic trading data. We keep this stage as light as possible.
Commercial assessment
1–2 weeks
We review the information you have provided and form an initial view of the business. We may ask a small number of follow-up questions. We aim to give you clear feedback within a short timeframe.
Indicative proposal
Clear and straightforward
If we want to proceed, we set out our indicative terms in a clear, plain-language document. This covers the proposed price, structure and any key conditions. It is not legally binding, but it gives you a clear basis on which to decide whether to proceed.
Due diligence
Proportionate to the transaction
We conduct due diligence in a structured, proportionate way. We work with your advisers and ours to manage the process efficiently. We do not use due diligence as an opportunity to renegotiate — our aim is to confirm what we have been told and proceed to completion.
Completion and handover
Planned and orderly
We plan the handover carefully with you. We agree on the transition arrangements, the communication to staff and customers, and the practical steps needed to transfer the business. Our objective is a smooth, orderly handover that protects the business and everyone in it.
Questions
Common questions
Do I need to use a broker or adviser?
No. You can approach us directly, without a broker or adviser. Many of our conversations begin with a direct call or email from the owner. If you do have an adviser, we are happy to work with them — we will agree any introduction or success fee arrangements clearly at the outset.
Will my employees find out?
Not unless you want them to. We operate with complete discretion and will not contact your staff without your knowledge and consent. We plan all staff communications with you as part of the handover process.
How long does the process take?
It depends on the complexity of the business and how quickly both parties want to move. We do not impose artificial deadlines, but we are able to move quickly when the situation calls for it. A straightforward transaction can complete in a matter of weeks; more complex ones may take longer.
Do I need to stay on after the sale?
Not necessarily. We prefer to acquire businesses that can operate without the owner from day one, but we are flexible. If you want to stay involved for a transition period, we can accommodate that. If you want a clean break, we will plan the handover accordingly.
What if my business does not exactly fit your criteria?
Get in touch anyway. Our criteria are guidelines, not absolute requirements. We will always consider unusual or strategically valuable opportunities on their individual merits. The worst outcome of a conversation is that we are not the right buyer for you — and we will tell you that clearly and promptly.
Ready to have a confidential conversation?
There is no obligation to proceed. A conversation costs nothing and commits you to nothing.
